1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or a legal entity) and Juridion LLC ("Company," "we," "our," or "us") governing your access to and use of CompensateAI (the "Service").
By accessing or using the Service, clicking "I Agree," or otherwise indicating your acceptance, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
If you are accepting these Terms on behalf of a law firm or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Description of Service
CompensateAI is a software-as-a-service platform that provides:
- Automated partner fee allocation and compensation calculations
- AI-powered parsing and interpretation of fee agreements
- Integration with Clio legal practice management software
- Real-time synchronization of billing and payment data
- Compensation reports and analytics dashboards
- Natural language explanations of compensation calculations
The Service is designed for use by law firms and legal professionals. It is not intended for use by individuals seeking legal advice or services.
3. User Accounts and Responsibilities
3.1 Account Creation
To use the Service, you must create an account by authenticating through Clio OAuth. You agree to provide accurate, current, and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to transmit malware or harmful code
- Resell, sublicense, or redistribute access to the Service
- Use automated scripts to access the Service without permission
4. Subscription and Billing
4.1 Subscription Plans
CompensateAI is offered as a paid subscription service. Current pricing is:
- Monthly Plan: $99.99 per month, billed monthly
- Annual Plan: $1,199.88 per year, billed annually (equivalent to $99.99/month)
4.2 Free Trial
New subscribers may be eligible for a 14-day free trial. During the trial period, you will have access to all features of the Service. Your payment method will be charged at the end of the trial unless you cancel before the trial ends.
4.3 Payment
Payment is processed through Stripe. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method. All fees are non-refundable except as expressly stated in these Terms or as required by law.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your access will continue until the end of your current billing period
- No refunds will be provided for partial billing periods
- Your data will be retained for 30 days to allow for reactivation
- After 30 days, your data may be permanently deleted
5. Clio Integration
CompensateAI requires integration with Clio to function. By using the Service, you:
- Authorize us to access your Clio account data via OAuth
- Acknowledge that we will receive real-time updates via Clio webhooks
- Understand that accuracy depends on the completeness of your Clio data
- Agree to maintain an active Clio subscription
We are not responsible for any issues arising from Clio's service availability, data accuracy, or changes to their API. Your use of Clio is governed by your separate agreement with Clio.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including all content, features, and functionality (including but not limited to software, algorithms, text, graphics, logos, and design), is owned by Juridion LLC and is protected by copyright, trademark, and other intellectual property laws.
6.2 Your Data
You retain all ownership rights to your data. By using the Service, you grant us a limited license to access, store, and process your data solely for the purpose of providing the Service.
6.3 Feedback
If you provide suggestions, feedback, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
7. AI-Generated Content Disclaimer
Important Notice:
CompensateAI uses artificial intelligence to parse fee agreements and generate compensation calculations. AI-generated content may contain errors and should always be verified.
7.1 Not Legal Advice
The Service does not provide legal advice. All fee agreement interpretations, compensation calculations, and explanations are generated by AI algorithms and are provided for informational purposes only. You should consult with qualified legal counsel regarding fee agreement interpretation and partner compensation matters.
7.2 User Verification Required
You are solely responsible for verifying the accuracy of all AI-generated content before relying on it for business decisions. We recommend that users:
- Review all parsed fee agreements for accuracy
- Verify compensation calculations against source data
- Confirm allocation rules match your intended fee arrangements
- Maintain backup records of all fee agreements and calculations
7.3 No Attorney-Client Relationship
Use of the Service does not create an attorney-client relationship between you and Juridion LLC. The Service is a software tool and does not constitute the practice of law.
8. Limitation of Liability
8.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JURIDION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
8.3 Maximum Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Juridion LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any claim that your data caused damage to a third party.
10. Termination
10.1 Termination by You
You may terminate your account at any time by canceling your subscription and disconnecting your Clio integration through your account settings.
10.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- Your payment method fails and is not updated
- We are required to do so by law
- We discontinue the Service
10.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your data after a 30-day grace period. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification provisions.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@juridionllc.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving your notice.
12.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in California.
12.3 Class Action Waiver
You agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.

14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, which shall remain in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Juridion LLC regarding the use of CompensateAI and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter hereof.
